1. Agreement

By accessing or using Laudiva, you agree to be bound by these Terms of Service ("Terms"). Laudiva is operated by AI Augmented Software Development LLC ("we," "our," or "us"), a Florida limited liability company. If you do not agree to these Terms, do not use the service.

2. Service Description

Laudiva is an AI-powered Google Reviews widget platform. We scrape publicly posted Google reviews for businesses you specify, score them with AI to surface the highest-quality reviews, and serve an embeddable widget that you can place on your website to display those reviews to your visitors.

3. Account Registration

To use Laudiva you must create an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account and for all activity that occurs under your account. You must be at least 18 years old to create an account.

4. Subscription and Payment

Laudiva offers a Free plan and paid subscription plans, as listed on our pricing page. Paid plans are billed per billable location, at the prices and volume tiers shown on our pricing page. Paid subscriptions are auto-renewing and billed either monthly or annually. Annual subscriptions are charged as a single payment at the start of each billing year. All billing is managed through Stripe.

You authorize us to charge your payment method on a recurring basis until you cancel. Prices may change with advance notice. Continued use after a price change constitutes acceptance of the new price.

No proration is applied when you cancel — access continues until the end of the current billing period.

Widget views are unlimited on every plan, and your widget is never switched off because of how many people view it. To keep the service sustainable, each plan includes a fair-use allowance of full-widget views per billable location per calendar month. If a location's widget goes past its allowance in a month, we may serve it in a lighter form for the rest of that month: your rating, your review count, a selection of your reviews and a link to read them all. We set allowances to cover normal use by the businesses we serve, and we may change them under Section 16.

5. Cancellation

You may cancel your subscription at any time via the billing portal in your account settings. Cancellation takes effect at the end of the current billing period; you retain full access until then. We do not issue refunds for unused time in a partial billing period.

6. Free Plan

A Free plan is always available with feature and usage limitations. Widgets served on the Free plan display a "Powered by Laudiva" badge. Removing or hiding this badge requires upgrading to a paid plan. We reserve the right to modify Free plan limits at any time with notice.

7. Acceptable Use

You agree not to use Laudiva to:

  • Display fake, fabricated, or fraudulent reviews.
  • Scrape data from Google or any third party beyond what Laudiva's normal service provides.
  • Circumvent or attempt to circumvent plan limits or access controls.
  • Use the service for any illegal purpose or in violation of any applicable law or regulation.
  • Interfere with or disrupt the service or servers.
  • Resell or sublicense the service without prior written consent.
  • Upload, transmit, store, or process Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), including patient contact lists, patient-identifiable review data, or any health information that identifies or could reasonably be used to identify an individual.

We reserve the right to suspend or terminate accounts that violate these guidelines without prior notice.

8. Customer Representations and Warranties

By using Laudiva's review display features, you represent and warrant that:

While Laudiva serves United States businesses only, the representations in this Section regarding EU and UK law apply only if and when the Service expands outside the United States; until then, U.S. federal and state consumer-protection law governs your representations under this Section.

  • The consumer reviews displayed through your Laudiva widget are authentic, unaltered reviews posted by real customers on the connected platforms (Google, Facebook, and others). You have not fabricated, purchased, or solicited fraudulent reviews.
  • You have not provided compensation, gifts, discounts, or any other material consideration to any reviewer in exchange for a review, unless such arrangement is clearly and conspicuously disclosed alongside or in immediate connection with the review, as required by applicable law including the FTC's Consumer Reviews and Testimonials Rule (16 CFR Part 465).
  • You have not directed, and will not direct, any employee, owner, partner, family member of an owner, or other insider to submit reviews of your business without clearly and conspicuously disclosing their connection to the business at or near the time of submission.
  • You accept sole responsibility for ensuring that the reviews displayed on your website through Laudiva comply with all applicable consumer protection, false advertising, and review authenticity laws, including 16 CFR Part 465 (FTC), the EU Omnibus Directive (2019/2161), the UK DMCC Act 2024, and any equivalent laws in jurisdictions where your business operates.

Laudiva does not independently verify the authenticity of individual consumer reviews aggregated from third-party platforms such as Google. You acknowledge and accept this limitation.

9. HIPAA and Healthcare Data

Laudiva is not a HIPAA-covered entity and does not act as a HIPAA Business Associate. We do not enter into Business Associate Agreements (BAAs). Health practices are not supported at launch. Laudiva does not accept the following types of business, and you may not add one to your account: Medical practices and clinics, doctors and medical labs; Dental and orthodontic practices; Chiropractic practices; Hospitals and urgent care; Pharmacies and drugstores; Physiotherapy and physical therapy; Optometry and eye doctors; Mental health: psychiatry, psychology, therapy and counseling; Medical spas, skin clinics and cosmetic surgery; Hearing care, senior care and home health; Dietitians; Addiction treatment, fertility and weight-loss clinics; Acupuncture; Midwives and doulas. The following are supported: Veterinary practices and animal care; Massage, day spas, saunas, tanning and wellness centers; Gyms, fitness and yoga studios; Beauty salons and barbers; Retail opticians and eyewear stores. If you are, or become, a HIPAA covered entity or business associate (or are subject to an equivalent healthcare-privacy regime outside the United States, such as special-category health data under GDPR Article 9), you may not use Laudiva and must tell us so that we can close your account.

Public Google reviews displayed through Laudiva's widget are sourced from Google's publicly accessible platform.

If you are unsure whether you are, or have become, a HIPAA covered entity or business associate, or whether your use of Laudiva involves PHI or equivalent regulated health data, do not use the service until you have obtained independent legal advice.

10. Review Data

The reviews displayed through Laudiva are publicly posted on Google by third parties. Laudiva retrieves and displays them on your behalf. You, as the operator of your website, are responsible for ensuring that displaying this content on your site complies with applicable laws and Google's Terms of Service.

You are the data controller for any personal data belonging to your website visitors or your customers that is processed in connection with your use of the Laudiva widget. You are responsible for giving your website visitors any notice, and obtaining any consent, that applicable law requires for the Laudiva widget on your website, including for the data the widget sends to Laudiva as described in our Privacy Policy.

11. Intellectual Property

The Laudiva platform, widget code, dashboard, branding, and all associated intellectual property are owned by AI Augmented Software Development LLC. Nothing in these Terms grants you any rights in our intellectual property beyond the limited right to use the service as described.

You retain ownership of your account data (business information, settings, and configurations you provide). You grant us a license to use that data to provide the service. Public Google review content belongs to Google and the respective review authors. Laudiva is not affiliated with, endorsed by or sponsored by Google. Google and the Google logo are trademarks of Google LLC.

12. Limitation of Liability

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that review data will be accurate or complete.

To the fullest extent permitted by law, AI Augmented Software Development LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service.

Our total liability for any claim arising from these Terms or your use of the service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI Augmented Software Development LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to Laudiva at any time if you violate these Terms or if we determine that your use poses a risk to other users or to the service. We will make reasonable efforts to notify you before termination unless the violation is severe.

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Subject to §17 (Dispute Resolution), any disputes not subject to arbitration under §17 shall be resolved exclusively in the state or federal courts located in Florida.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the dashboard. Continued use of Laudiva after the effective date of updated Terms constitutes your acceptance of the changes.

17. Dispute Resolution

Binding Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Laudiva Service — including disputes about the validity, applicability, or enforceability of this Section — shall be resolved exclusively through binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules, or, if JAMS is unavailable, by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Florida, consistent with §15 (Governing Law), and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of this Section.

Class Action Waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PARTY ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION CLAUSE SHALL BE VOID AND OF NO EFFECT.

Waiver of Jury Trial. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS OR THE LAUDIVA SERVICE.

Exceptions. Either party may seek injunctive or other equitable relief in the state or federal courts located in Florida to protect its intellectual property rights or prevent imminent, irreparable harm, without waiving the right to arbitration for all other claims.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to privacy laudiva.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address associated with your Laudiva account, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.
